Terms of Service

Draft version:

These Terms of Service (the “Terms”) are an agreement between you and The Zoop Troop, Inc. (“BlueClaw”, “we”, or “us”). They apply to the BlueClaw website, customer portal, and API (together, the “Service”). By creating an account, checking the acceptance box at signup, or sending a request to the API, you agree to these Terms and to the Privacy Policy. If you use the Service for an organization, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization. You must be at least 18 years old to use the Service.

1. The Service

BlueClaw is a pass-through routing service. It accepts requests through native OpenAI and Anthropic API routes, and it doesn't translate between the two. It sends them to AI models running on a decentralized set of worker nodes run by independent operators, then returns the response. Each model lists the endpoints it supports. BlueClaw does not train models on your content.

2. Accounts and API Keys

You must give accurate account information and keep it current. You are responsible for keeping your API keys secret and for all use of the Service, and all charges, made with your account or your keys, including use by anyone you give a key to or who obtains it from you. Tell us promptly at info@blueclaw.network if a key is exposed, and revoke it in the portal. We may revoke or disable a key that we believe is compromised or misused.

3. Credits, Pricing, and Payment

The Service is prepaid, and your account has one balance. You buy credit through the portal, and requests are charged against your balance at the prices listed in the portal for each model when the request is made. We may change prices at any time; a change applies to requests made after it is published. Charges are calculated from the usage reported for each request, such as input, cached, cache-write, and output tokens, images, characters, or seconds, and our records of that usage are final unless they contain a clear error.

Missing usage and failed requests. If a response is delivered but its usage is missing, or you disconnect before the usage arrives, we estimate the charge from what was delivered, up to the amount we reserved. A request that fails isn't charged, whether it fails before or after we pay the network.

No promotional credit. We offer no promotional or free credit, and signing up adds nothing to your balance.

Purchased credit is non-refundable, except where the law requires a refund or we decide to give one.

Credit we add. We may also add credit to your balance ourselves, for example to correct an error or as a goodwill gesture. It joins the same balance and can be spent on any model, including a vendor-marked one. Credit we add has no cash value and isn't refundable.

Holds and negative balances. Before a request runs, we reserve part of your balance as an estimate of its cost. The final charge is based on actual usage, and we won't charge more than the amount we reserved, so a request can't take your balance below zero on its own. A deduction we record can, as described below. A balance at or below zero can't start new requests. You owe any negative balance. A later purchase joins the same balance, so it pays down the amount owed first, and new requests stay blocked until the balance is above zero.

Prices do not include taxes unless stated. You are responsible for any taxes that apply to your purchases, other than taxes on our income. If a payment is reversed or charged back, we may deduct the related credit, including credit already used, which can take your balance below zero and block new requests until it is repaid, and we may suspend your account until the matter is resolved.

4. Worker Nodes, Vendors, and Governing Policies

Requests and submitted content go to a decentralized set of worker nodes run by independent operators, who can see and may log what's sent. A request to a vendor-marked model also reaches that vendor, named on the model. The vendor today is Alibaba Cloud. BlueClaw does not own, operate, or control those parties. Their own terms of service and privacy policies govern your use of their services and their processing of content, and the Service shows which models are vendor-marked before you use them. You are responsible for reviewing and following those parties' terms and usage policies, which may be stricter than these Terms.

5. Your Content and Outputs

You are solely responsible for prompts, inputs, files, instructions, outputs, and all other content you submit or direct the Service to process (“Your Content”). You warrant that you have all rights and permissions needed for Your Content and that you will not submit personal health information, payment-card data, government identifiers, regulated data, trade secrets, or other sensitive or confidential data.

As between you and BlueClaw, you keep your rights in Your Content, and you own the outputs you receive, subject to the rights of others and to the terms of the operator or provider that produced them. You give BlueClaw, and the operators and providers it routes to, permission to transmit, process, and store Your Content as needed to provide, secure, and bill for the Service.

AI outputs can be inaccurate, incomplete, offensive, or similar to outputs given to others. They are not professional, medical, legal, or financial advice. You are responsible for evaluating outputs, including with human review where appropriate, before you rely on or publish them.

6. No Confidentiality, Encryption, or Retention Guarantee

BlueClaw does not guarantee confidentiality, end-to-end encryption, trusted execution, confidential computing, or any operator's or provider's deletion or retention behavior. An operator or provider may log or retain content or metadata according to its own policy, including in other countries. You are responsible for evaluating each operator and provider and for redacting or withholding content that is not appropriate for pass-through processing.

7. Acceptable Use

You will not use the Service to:

  • break any law or regulation, or infringe or misappropriate anyone's rights;
  • create, share, or solicit child sexual abuse material, or any sexual content involving minors;
  • harass, threaten, defraud, or impersonate anyone, or create content intended to deceive people about its origin in a harmful way;
  • develop or spread malware, or attack, probe, or disrupt any system, including the Service, an operator, or a provider;
  • help develop weapons capable of mass casualties, or plan violence;
  • make decisions with legal or similarly significant effects on people, such as about credit, employment, housing, or health, without meaningful human review;
  • get around rate limits, spending limits, billing, or security controls, or share, sell, or publish API keys; or
  • violate the usage policies of the operator or provider that serves your request.

We may block requests, remove access to models, or suspend accounts to enforce this section, and we may report illegal content to the authorities.

8. As-Is Service, Availability, and Model Changes

The Service, routes, models, and outputs are provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, accuracy, fitness for a particular purpose, noninfringement, security, reliability, or uninterrupted operation. We do not guarantee uptime, availability, capacity, latency, model continuity, or successful processing. Operators, third-party providers, routes, models, model names, versions, pricing, features, and capacity may change, be substituted, or be discontinued without notice.

9. Suspension and Termination

You may stop using the Service and close your account at any time. We may suspend or end your access, with or without notice, if you breach these Terms, if a payment fails or is reversed, if your use creates risk or possible legal exposure for BlueClaw, an operator, or a provider, or if we stop offering the Service. Unused purchased credit is forfeited if we close the account for breach of these Terms; otherwise any refund is at our discretion or as the law requires. Any negative balance remains payable. Sections 3, 5, 6, and 8 through 14 survive termination.

10. Liability Cap and Exclusion of Damages

To the maximum extent permitted by law, BlueClaw's total aggregate liability for all claims arising out of or relating to the Service or these Terms is capped at the fees you paid BlueClaw during the three months immediately preceding the event giving rise to the claim. BlueClaw will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, data, goodwill, or business interruption, even if it was told such damages were possible. BlueClaw is not liable for the acts, omissions, outputs, or outages of any operator or provider. Some jurisdictions do not allow some of these limits, so they apply to you only to the extent the law allows.

11. Indemnification

You will defend, indemnify, and hold harmless BlueClaw and its affiliates, personnel, and service partners from claims, damages, losses, liabilities, and expenses, including reasonable legal fees, arising from Your Content, your use of the Service or any operator, provider, or model, your violation of law or third-party rights, or your breach of these Terms.

12. Our Property and Feedback

BlueClaw and its licensors own the Service, including its software, design, and brand. These Terms give you no rights in them beyond using the Service as described here. You will not copy, resell, or reverse engineer the Service except as the law expressly allows. If you send us feedback or suggestions, we may use them without any obligation to you.

13. Compliance

You will comply with all export control and sanctions laws that apply to your use of the Service. You confirm that you are not located in, or acting for a person in, a country or region subject to comprehensive U.S. sanctions, and that you are not on a U.S. government restricted-party list.

14. Disputes and Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania and the federal laws of the United States that apply there, without regard to its conflict-of-laws rules. Before filing a claim, each party will try to resolve the dispute informally for 30 days after written notice. Any claim that is not resolved will be brought only in the state or federal courts located in Pennsylvania, and both parties consent to their jurisdiction. To the extent the law allows, claims may be brought only individually and not as a plaintiff or class member in any class or representative action.

15. Changes, Clickwrap Acceptance, and Versioning

You accept these Terms and the Privacy Policy by checking the required clickwrap box at signup. Following a material change, we will present a new clickwrap and require acceptance before continued account use. Every API request and any continued API use constitutes acceptance of the current published Terms version, even without use of the web interface. The draft version of these Terms is .

16. General

These Terms and the Privacy Policy are the entire agreement between you and BlueClaw about the Service. If any part is found unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it. You may not transfer these Terms without our consent; we may transfer them to an affiliate or in a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. We may send you notices by email to your account address. Contact us at info@blueclaw.network.
